TERMS AND CONDITIONS

The following Terms and Conditions shall be applied to parties living in countries or regions outside Japan using or purchasing items from SAKAIKNIFE.com (hereinafter “the Site”), a website administered by Sakai City Industrial Promotion Center (hereinafter "the IPC"; a special public institution headquartered at 183-5, Nagasonecho, Kita-ku, Sakai-shi, Osaka, JAPAN). While using or purchasing items from the Site you are considered to be in agreement to the terms of this document, so you should understand and agree to the following Terms and Conditions before using the Site.

  1. Article 1Member
    1. 1."Member" shall mean a person who has registered and been approved as a member following the designated procedures. Member shall use the Site following this Terms and Conditions and the way of usage etc. designated by IPC.
    2. 2.For a first-time order, in accordance with Terms and Conditions IPC requires you to first accurately provide your name and address information before ordering and then receive a notification of your ID and password from IPC (member registration). Please consult with the “Countries and Regions We Ship To” and “Shipping and Handling Charges” pages for more information regarding service in your area.
    3. 3.IPC may refuse to approve your application for member registration and may cancel your member registration in one of the following cases.
      1. (1)In case you breach this Terms and Conditions
      2. (2)In case IPC finds the fact that you have been subject to punishment in the past including cancel of your member registration due to breach of this Terms and Conditions, etc.
      3. (3)In case your application for member registration contains a false statement
      4. (4)In case IPC considers approval of your application for member registration as inappropriate
  2. Article 2Password management by Member
    1. 1.Member ID may be utilized only by Member and shall not be transferred nor lent to a third party.
    2. 2.Please take care to prevent discovery and misuse of your member ID and password by a third party.
    3. 3.You are considered to have agreed to bear responsibility for all actions taken using your ID and password and you shall be liable for the payment, etc occurred by that.
  3. Article 3Change of membership information
    1. 1.Member shall perform a change procedure in registration page if his/her registration information including name, address, etc has changed.
    2. 2.IPC shall not be liable for damages due to non-performance of change procedure. Besides, any deal made before change procedure is complete shall be handled according to the information before change procedure.
  4. Article 4Protection of personal information

    IPC shall manage Member’s personal information to be acquired by use of the Site according to Protection Policy of Personal Information of the Site and Protection Regulation of Personal Information of IPC.

  5. Article 5Prohibitions
    Member shall not commit the following acts.
    1. (1) Act to apply or input a false thing
    2. (2) Act to interfere the operation, etc of the Site
    3. (3) Act to use the Site by unauthorized use of credit card etc.
    4. (4) Act of unauthorized use of email address and password
    5. (5) Act to give other Member, a third party or IPC bother, disadvantage or damage, or act to likely cause those
    6. (6) Act to infringe intellectual property including copyright, etc, right of privacy, moral right or other rights of another Member, a third party or IPC, or act to likely cause those
    7. (7) Act to be contrary to public order or morality or other law and regulation, or act to likely cause those
    8. (8) Other acts that IPC considers inappropriate
  6. Article 6
    IPC may suspend the use of the Site and cancel the member registration without prior notice to Member in one of the following cases.
    1. (1) In case Member breach this Terms and Conditions
    2. (2) In case IPC finds the fact that Member has breached this Terms and Conditions in the past
    3. (3) In case Member goes into default on a debt of fee of the Site, sales price or other non-performance
    4. (4) In case Member commits act of Article 5 (prohibition)
    5. (5) In case IPC considers inappropriate
  7. Article 7Copyright
    1. 1. All copyrights regarding contents provided through the Site shall belong to IPC.
    2. 2. Member shall not use any information without IPC’s permission provided through the Site if the use is beyond the scope of legitimate acts including personal private use, etc stipulated in copyright law as restrictions of copyright.
    3. 3. Member shall solve any incidents arising out of breach of this Article with his/her own responsibility and costs and shall not give IPC bother or damage.
  8. Article 8Establishment of sales contract
    1. 1. Member may purchase products from IPC.
    2. 2. If Member wishes to purchases products, he/she shall order following procedures designated by IPC. In case of the order, Member shall provide true and accurate information.
    3. 3. Limit amount per order shall be 200,000yen. The limit amount shall include purchase price only, and delivery fee shall not be included.
    4. 4. The contract between IPC and Member shall be considered to be executed when IPC ships products to Member. The sending of an Order Confirmation email by IPC is for the purpose of confirming the contents of Member’s application to enter into a contract with IPC, and shall not mean that IPC has approved Member’s application to enter into said contract. Provided however, Member shall not withdraw his/her order after the sending of an Order Confirmation email.
  9. Article 9Acceptance
    1. 1. Member shall investigate the rules and regulations regarding import into Member’s country, including goods restricted for import, before placing an order. IPC shall not be liable for the unlikely event that an ordered product is not allowed for import into Member’s country or is subject to tax due to its high value. Also, in such event, IPC shall not be liable to provide Member with any refunds or exchanges for the product or cost of delivery.
    2. 2. Even though a product is listed as being in stock and successfully added to the shopping cart, there may be instances where Member’s account may not be settled for the reason why the stock runs out by the time of the settlement procedure.
    3. 3. Even after an Order Confirmation email is sent, there may be instances where a part or all of ordered products is out of stock due to the difference between stock status displayed in the Site and real stock status, etc.
    4. 4. In the event that a part of ordered products is out of stock, the price of such out-of-stock products shall be deducted from the settlement amount and the rest of products shall be shipped without prior notification. Additionally, even if the out-of-stock product comes into stock after the rest is shipped, IPC shall not be liable to ship the product as a supplement to Member’s previous order. Please make a new order for the product.
    5. 5. Orders may be subject to import tax, value tax, customs handling fees, and/or delivery fees in some countries or regions. In this case, Member (or the recipient if the merchandise is shipped to someone other than Member) shall be responsible for the payment of any such taxes or fees, and a postman or courier in Member’s country may directly charge.
    6. 6. IPC shall not be liable to issue certificates of origin, export visas for export verification, etc for delivered products.
  10. Article 10Delivery
    1. 1. Although IPC makes best effort to ship Member’s order within 9 days after the next day of order, there may be instances where shipment of the order is delayed, depending on the contents of the order, the condition of stocks, and the volume of orders,. Also, products of the Site may take additional time for manufacture.
    2. 2. In the event that the delivery of an order is delayed due to complications or processing at customs, IPC shall bear no responsibility for this situation.
    3. 3. IPC reserves the right to combine multiple orders from the same Member, and ship them together as one unit. Even in such event, IPC shall bear no responsibility to refund them.
    4. 4. Orders from countries and regions other than Hong Kong may be sent by Express Mail Service (EMS). Orders from Hong Kong may generally be sent by international couriers. Provided however, depending on the contents of the order EMS may also be used. In no countries or regions, Member may not choose the shipping service.
    5. 5. Shipping and handling charges shall be set based on the total amount of ordered product and those charges shall include the Express Mail Service (EMS) or international courier postage and insurance fees, etc. They shall be paid together with the total amount of the ordered product.
    6. 6. In the event that Member refuses to accept the delivery of an order, or if an order is returned to IPC after the retention period at the post office has passed after failure of delivery attempts, the cost of returning the product to IPC shall be deducted from the price of products to be refunded, and may not be returned to Member. Further, if the cost of returning the product to IPC is more than the value of the products, Member shall pay that difference to IPC.
  11. Article 11Payment
    1. 1. The amount charged to Member shall be the total sum of the product price plus the shipping and handling charges.
    2. 2. Payment shall be subject to rules of credit card company. For more details regarding payment, please contact directly Member’s credit card company.
    3. 3. In the event of a credit card order, Member shall use a credit card that is in Member’s own name. If Member uses a credit card that is not in Member’s name, IPC may refuse order(s) without prior notice.
    4. 4. Credit card settlements shall be made in Japanese Yen.
  12. Article 12Warranty
    1. 1. With regard to products, IPC warrants the following things only.
      1. (1) that products shall conform to the order regarding content and quantity
      2. (2) that products shall be free from damages under normal use and storage
    2. 2. IPC shall not warrant any other things (including but not limited to merchantability, fitness for a particular purpose and non-infringement of any intellectual properties in Member’s country) regarding products, express or implied, than the preceding clause.
    3. 3. In the event of any breach of the clause 1, Member may request IPC, within two weeks after delivery, to exchange products at IPC’s costs. In case that products are out of stock or sold out, IPC shall return the sales price.
    4. 4. IPC’s maximum liability for breach of the clause 1 shall be limited to the preceding clause and Member shall not ask IPC of other things (including but not limited to damages for lost profits which Member or his/her purchasers may suffer by use or resale of products) than the preceding clause. Also, Member shall not ask IPC of things stipulated in the preceding clause for breach of the clause 1 after two weeks have passed from the date of product delivery.
  13. Article 13Returns

    IPC reserves the right to refuse returns “At the Convenience of Member” (including but not limited to the event that Member are not satisfied with the products). Colors of product may possibly be different due to monitor of Member’s computer, browser environment, light effect in product photographing, but Member may not return products due to the difference of colors of pictures displayed or images.

  14. Article 14Maintenance, Suspension and Termination of the Site
    1. 1. In order to keep operation condition of the Site, IPC may suspend or terminate all or part of the Site without prior notice to Member in one of the following cases.
      1. (1) In case of scheduled maintenance and emergency maintenance of system
      2. (2) In case operation of system becomes difficult due to fire, blackout, interference by a third party, and etc.
      3. (3) In other cases IPC considers suspension and termination is inevitably necessary due to technical, economical, social and other reasons
    2. 2. IPC shall not be liable for any Member’s damages due to the fact that he/she cannot use the Site for any reasons including the previous clause.
  15. Article 15Governing law

    Sales of product, use of the Site and other issues arising out of this Terms and Conditions shall be governed and construed by the laws of Japan.

  16. Article 16Jurisdiction

    All disputes between IPC and Member regarding sales of product, use of the Site and other issues arising out of this Terms and Conditions shall be finally settled by the exclusive jurisdiction of the Osaka District Court Sakai Branch for the first instance.
